Terms of Use — David PSP

1. Acceptance of Terms

By accessing or using the website https://davidpayments.com or integrating with the payment gateway, multi-MID routing systems, and APIs provided by David PSP Ltd. ("David PSP", "we", "us"), you agree to be legally bound by these Terms of Use and all applicable rules and regulations.

2. Services Description

David PSP provides intelligent payment orchestration, multi-MID routing, risk evaluation, cascading fallback processing, chargeback protection tools, and cross-border settlement infrastructure for digital platforms, high-scale e-commerce, and specialized online verticals.

3. Merchant Account & Underwriting

To access payment processing facilities, merchants must:

Complete standard corporate Onboarding, Know Your Customer (KYC), and Know Your Business (KYB) verifications.
Provide accurate corporate documentation, operational history, and ultimate beneficial ownership (UBO) disclosures.
Maintain operational chargeback ratios below card scheme thresholds (e.g. Visa VDMP and Mastercard ECM programs).

4. Prohibited Activities

Merchants and users agree not to use David PSP infrastructure for illegal activities, unauthorized financial schemes, counterfeit distribution, or any service violating card scheme regulations or international financial sanctions.

5. Settlements, Rolling Reserves & Fees

Settlement Rules: Funds captured are settled in accordance with the individualized Merchant Services Agreement (MSA), supporting payouts in USD, EUR, USDT, or approved local rails, subject to negotiated rolling reserve terms.

Rolling reserve percentages and holding durations are established during risk assessment to protect against dispute exposure and are transparently accessible via the merchant dashboard.

6. Intellectual Property & API Usage

All software, documentation, logos, trademark assets, and API interfaces are the exclusive intellectual property of David PSP Ltd. Merchants are granted a non-exclusive, revocable license to utilize our APIs solely for transaction processing during the active term of their agreement.

7. Limitation of Liability & Governing Law

To the maximum extent permitted by law, David PSP shall not be liable for indirect, incidental, or consequential damages resulting from downtime, network failures, or upstream banking outages.

These Terms of Use shall be governed by and construed in accordance with the laws of Anjouan, Union of Comoros (License No. L176912/ER).
